Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and DESIRO LLC, a company registered in Dubai, United Arab Emirates ("DESIRO", "we", "us", or "our"). By accessing our website, submitting an application, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, you must not accept these Terms.

DESIRO provides the following categories of services:

• TikTok LIVE Creator Network: onboarding, stream key access, creator coaching, traffic support, brand deal facilitation, and agency management for TikTok LIVE creators across the MENA region.
• Agency-Verified Advertising Accounts: provisioning and management of advertising accounts on platforms including Meta, Google, TikTok, Snapchat, LinkedIn, and X (Twitter) under DESIRO's agency relationships with those platforms.
• Performance Marketing Management: campaign strategy, creative development, media buying, optimisation, and reporting across digital advertising platforms.

The specific services provided to you, the associated fees, deliverables, and timelines are set out in the service agreement or statement of work signed between you and DESIRO.

You must be at least 18 years of age and have the legal capacity to enter into contracts to use our services. Our services are intended for legitimate businesses and individual content creators. We reserve the right to decline applications or terminate services at our sole discretion where eligibility criteria are not met.

You agree to:

• Provide accurate, current, and complete information during onboarding and throughout your engagement with us.
• Comply with all applicable laws, regulations, and advertising platform policies, including but not limited to Meta's Advertising Standards, Google's Advertising Policies, and TikTok's Community Guidelines.
• Not use DESIRO's services for unlawful, deceptive, or prohibited advertising activities.
• Maintain the confidentiality of account credentials provided to you and notify us immediately of any unauthorised access.
• Pay all fees in accordance with the agreed payment schedule.

Agency-verified ad accounts are provisioned subject to the terms and policies of the respective advertising platforms. DESIRO cannot guarantee that any account, campaign, or advertisement will be approved by a platform. Platforms may suspend or restrict accounts at their own discretion for policy violations. DESIRO shall not be liable for platform-level enforcement actions where such actions arise from content, targeting, or practices directed by the Client.

Fees for DESIRO's services are as set out in the applicable service agreement. Unless otherwise agreed:

• Management retainers are billed monthly in advance.
• Ad spend is billed separately and flows directly to the advertising platform.
• Invoices are due within fourteen (14) days of issue.
• Late payments may incur interest at the rate of 2% per month on the overdue balance.
• All fees are exclusive of VAT or other applicable taxes, which will be added where required by law.

Unless expressly agreed otherwise in writing, DESIRO retains ownership of all methodologies, tools, templates, and proprietary processes used in delivering the services. Creative assets and campaign materials developed solely for your brand shall be owned by you upon full payment of the relevant fees.

You grant DESIRO a non-exclusive, royalty-free licence to use your brand materials (logos, trademarks, images) solely for the purpose of delivering the agreed services during the term of the engagement.

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the services. This obligation survives termination of the engagement for a period of two (2) years. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

To the fullest extent permitted by applicable law, DESIRO's total aggregate liability to you for any claim arising out of or relating to these Terms or the services shall not exceed the total fees paid by you to DESIRO in the three (3) months immediately preceding the event giving rise to the claim.

DESIRO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.

You agree to indemnify and hold harmless DESIRO, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your content or advertising materials; (c) your violation of any platform policy or applicable law; or (d) any third-party claim relating to your business operations.

These Terms remain in effect for the duration of your engagement with DESIRO. Either party may terminate the engagement by providing thirty (30) days' written notice, unless a shorter notice period is specified in the service agreement. DESIRO may terminate immediately upon written notice if you breach these Terms, fail to make payment, or engage in activities that violate platform policies or applicable law.

Upon termination, you remain liable for all fees accrued up to the termination date. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law survive termination.

These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. Any dispute arising in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the Dubai International Arbitration Centre (DIAC) in accordance with its rules. The seat of arbitration shall be Dubai; the language shall be English.

We may update these Terms from time to time. We will provide reasonable notice of material changes by posting an updated version on our website. Your continued use of our services after the effective date of any update constitutes acceptance of the revised Terms.
